Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Knock application, website, and related services (collectively, the "Service") provided by Knock Health, Inc. ("Knock," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility
The Service is intended for licensed healthcare professionals and authorized clinical staff. By using Knock, you represent that you:
- Are at least 18 years of age
- Are a licensed healthcare professional or authorized by one to use the Service
- Have the authority to agree to these Terms on behalf of yourself or your organization
2. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use of your account
3. Acceptable Use
You agree to use the Service only for its intended purpose of secure clinical communication. You shall not:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Share your account credentials with unauthorized individuals
- Attempt to reverse engineer, decompile, or disassemble any part of the Service
- Interfere with or disrupt the Service or its infrastructure
- Use the Service to transmit malicious software or harmful content
- Use the Service for commercial solicitation or advertising unrelated to clinical care
4. Protected Health Information
Knock is designed to facilitate the secure exchange of Protected Health Information (PHI) between healthcare professionals. By using the Service:
- You acknowledge your own obligations under HIPAA and other applicable healthcare privacy regulations
- You agree to use the Service in compliance with your organization's policies regarding PHI
- You understand that Knock will enter into Business Associate Agreements (BAAs) with covered entities as required by law
5. Intellectual Property
The Service, including its design, features, code, and content (excluding user-generated content), is owned by Knock Health, Inc. and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
6. User Content
You retain ownership of the messages, images, and files you transmit through the Service ("User Content"). By using the Service, you grant Knock a limited license to process and transmit your User Content solely for the purpose of providing the Service.
7. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Knock is a communication tool and does not provide medical advice, diagnosis, or treatment. Clinical decisions remain the sole responsibility of the healthcare professionals using the Service.
9. Limitation of Liability
To the maximum extent permitted by law, Knock Health, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of revenue, or clinical outcomes resulting from communications made through the Service.
10. Indemnification
You agree to indemnify and hold harmless Knock Health, Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.
11. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms within the app or via email. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Salt Lake County, Utah.
